Responsibilities

As General Counsel and lead attorney, you’ll oversee all legal, compliance and risk-related affairs across the company. You’ll manage a range of crucial responsibilities, including:

  • Advising on strategies for intellectual-property, technology, and licensing issues related to the delivery of products and services to clients
  • Drafting and negotiating contract documents and collaborating closely with the company’s Business Development team in the sales process
  • Offering guidance and representation on a range of legal issues that touch the company’s business and internal affairs, including contracts, technology, software, data and privacy, leasing and other real-estate matters, audits, compliance, confidentiality, litigation, and employment
  • Monitoring case law, legislation, and regulatory matters for developments bearing on the activities of the Company
  • Overseeing risk-management strategies and programs, including evaluating and maintaining company insurance policies
  • Participating on strategy for business transactions and the organizational affairs of the firm, which features horizontal, collaborative governance, free of hierarchy or managers
  • Retaining and supervising outside counsel, as necessary
  • Acting as legal advisor to the chief executive and Board of Directors in matters of corporate governance
  • Developing and providing legal counsel on the company’s internal policies and managing necessary business filings
  • Serving as thought partner to staff across the company

Skills

To succeed in this position, you’ll need:

  • Superior analytical, drafting, negotiating, and communication skills
  • Superb organizational skills and attention to detail
  • An ability to work collaboratively with staff across teams and disciplines, including technology, finance and accounting, HR and benefits, facilities and operations, product development, administration, Board of Directors, and company ownership
  • Self-motivation and discretion necessary to work independently
  • Judgment and experience to identify, manage, and mitigate corporate risk  
  • Comfort working in collaborative environment that minimizes hierarchy

Qualifications

  • JD from an accredited law school and admission to practice law in New York State. Experience working with California or North Carolina legal issues a plus
  • Minimum 5 years’ experience in intellectual property transactional work, including licensing  
  • Additional experience with general corporate law preferred
  • In-house counsel experience a plus
  • Experience with employment-related matters a plus
